What Is Corporate Governance?
Corporate governance refers to the framework through which a company is directed, managed and supervised. For a business, governance is not merely an internal administrative matter. It affects how important decisions are made, how authority is exercised and how responsibility is allocated within the company.
In Indonesia, the legal structure of a Perseroan Terbatas is closely connected with the roles of the General Meeting of Shareholders (RUPS), the Board of Directors (Direksi), and the Board of Commissioners (Dewan Komisaris).
These corporate organs have different functions. Understanding those functions can help shareholders and business leaders avoid overlapping authority, procedural errors and unnecessary legal disputes.
The Three Main Corporate Organs
Under the Indonesian Company Law framework, the organs of a company consist of the RUPS, Direksi and Dewan Komisaris. Each has a distinct position within the corporate structure.
1. General Meeting of Shareholders
The RUPS is the corporate organ with authority that is not granted to the Directors or Commissioners within the limits established by law and the company's articles of association.
In practice, important corporate decisions may require shareholder approval through the RUPS depending on the nature of the decision and the applicable legal and constitutional requirements of the company.
2. Board of Directors
The Directors are responsible for the management of the company in accordance with its purposes and objectives. The Directors also represent the company inside and outside court proceedings, subject to the applicable legal and corporate limitations.
This position carries significant responsibility. Corporate decisions should therefore be made with proper authority, good faith and appropriate care.
3. Board of Commissioners
The Board of Commissioners performs supervisory functions and provides advice to the Directors. Its role is different from the day-to-day management function of the Directors.
Effective supervision can provide an important corporate control mechanism, particularly where business decisions involve significant financial, regulatory or legal risks.
Why Corporate Governance Matters
Weak corporate governance can create uncertainty regarding who has authority to make a decision, who is responsible for a particular action and whether the required corporate procedure has been properly followed.
These issues can become particularly important when a company enters into significant transactions, borrows substantial amounts, acquires assets, changes its ownership structure or becomes involved in a dispute.
A clear governance structure can help businesses establish accountability and reduce the possibility that important corporate actions are challenged because of procedural or authority-related issues.
Directors and Legal Responsibility
Corporate decision-making involves legal responsibility. Under the Company Law framework, Directors are required to manage the company in good faith and with full responsibility for the interests of the company.
Personal liability may arise in circumstances where a Director is found to have acted wrongfully or negligently and causes loss to the company, subject to the applicable legal requirements and available defenses.
This is why corporate decisions should not be viewed solely from a commercial perspective. Directors should also consider authority, procedure, conflicts of interest, documentation and potential legal consequences.
The Importance of Corporate Documentation
Good corporate governance should be supported by proper documentation. Corporate resolutions, shareholder decisions, minutes of meetings, company records and relevant agreements can become important evidence of how a decision was made.
Proper documentation also helps establish the authority behind a transaction and provides a clearer record when the company later needs to explain or defend a corporate decision.
